Florida Terms of Service

VendorSource is a directory and job-posting platform that helps Florida property owners, landlords, HOA and condo boards, and managers (“Property Owners”) find licensed contractors and service vendors (“Vendors”). The Service includes:

• A searchable directory of Vendors operating in Florida
• The ability for Property Owners to post jobs, receive quotes from multiple Vendors, and compare quotes side by side
• The ability for Vendors to claim and manage their listings, and to submit quotes — including by uploading a quote document that VendorSource processes with automated tools to help populate quote details (see Section 5)

VendorSource is not a contractor, broker, agent, employer, or representative of any Vendor or Property Owner. VendorSource does not perform any work, supervise any work, guarantee any work, or take any responsibility for the quality, safety, legality, or outcome of any service provided by any Vendor listed on the Service.

VendorSource listings come from two sources:

Public-record listings (“Unclaimed Listings”). Many Vendor listings are created from publicly available information published by the State of Florida, including the Florida Department of Business and Professional Regulation (“DBPR”) license records, which are public records under Chapter 119, Florida Statutes. Unclaimed Listings display only factual information available in those records, such as business name, license number, license type, license status, address on file, and qualifier name. Unclaimed Listings are clearly marked as “Unclaimed” on the Service.

Claimed listings (“Claimed Listings”). A Vendor may claim their listing by following the claim process on the Service. Once verified, the Vendor controls the content of their Claimed Listing and may add information such as services offered, photos, hours, contact methods, and additional credentials.

VendorSource makes no representation that any Unclaimed Listing reflects current information, that the Vendor is currently in business, that the license is currently active, or that the Vendor is suitable for any particular job. Always verify license status directly with the DBPR before hiring any contractor.

If you are a Vendor and you want your listing removed or corrected, you may:

• Email us at kbarry@vendorsource.us with the business name, license number, and your request, OR
• Use the “Remove this listing” or “Report a listing” link on the listing page

We will respond to removal requests within five (5) business days. We will remove a listing on request from the business owner or an authorized representative, without requiring you to create an account. We may ask for reasonable verification that you are authorized to act on behalf of the business before processing the request.

VendorSource does not endorse any Vendor. License status displayed on the Service is sourced from public records and may be out of date. “Licensed” and “Insured” badges, where shown, indicate that a Vendor has provided documentation to VendorSource at some point in time; they do not guarantee that the Vendor’s license or insurance remains current or that any specific work will be performed competently.

You are responsible for your own due diligence. Before hiring any Vendor:

• Independently verify the Vendor's license status at MyFloridaLicense.com
• Request and verify proof of current general liability and workers' compensation insurance
• Check references and review work history
• Obtain a written contract before any work begins

Property Owners may submit reviews of Vendors, post jobs, and upload photos. Vendors may submit quotes and upload supporting documents. By submitting a review, job post, photo, quote document, or any other content to the Service (“User Content”), you represent that:

• The content is your own original work, or you have the right to upload and share it
• Where the content describes a factual experience (such as a review), it is truthful and based on your actual experience
• The content does not violate any third party's rights or any applicable law
• You have not been paid or otherwise compensated to submit the content (other than the natural experience of being a customer)

Quote documents and AI-assisted extraction. When a Vendor uploads a quote document (such as a PDF or a photo of a written estimate), VendorSource uses an automated third-party service to extract structured information from that document — such as price, materials, warranty terms, and estimated timeline — for display to the Property Owner. Nothing extracted this way is shown to a Property Owner until the Vendor has reviewed and confirmed it. VendorSource does not guarantee the accuracy of any automated extraction; the Vendor is solely responsible for the accuracy of the information they confirm and submit.

You grant VendorSource a non-exclusive, worldwide, royalty-free, perpetual license to display, distribute, and use your User Content in connection with the Service.

We may remove any User Content that we believe, in our sole discretion, violates these Terms, is false or misleading, is defamatory, or is otherwise inappropriate. We are not obligated to monitor User Content but reserve the right to do so.

If you are a Vendor and you claim a listing or use the Service:

• You represent that you are authorized to act on behalf of the business
• You will keep your license, insurance, and contact information current
• You will respond to inquiries from Property Owners in good faith and in a timely manner
• You will review and confirm the accuracy of any quote information — including information extracted from a document you uploaded — before it is shared with a Property Owner
• You will not solicit, threaten, or retaliate against any Property Owner who submits a review
• You will perform any work in accordance with applicable Florida law, including all licensing, insurance, permitting, and consumer protection requirements
• You acknowledge that VendorSource is not a party to any agreement between you and a Property Owner

You agree not to:

• Use the Service to violate any law or regulation
• Submit false, misleading, or fraudulent information
• Impersonate any person or business
• Upload any document or photo you do not have the right to share
• Scrape, harvest, or systematically extract data from the Service
• Attempt to interfere with, disrupt, or compromise the security of the Service
• Use the Service to send unsolicited commercial communications
• Use any automated means to access the Service except as expressly permitted by us

The Service is currently free to use for both Property Owners and Vendors. We reserve the right to introduce paid features in the future, with notice to affected users.

The Service, including its design, code, text (other than User Content), graphics, and trademarks, is owned by VendorSource and protected by applicable intellectual property law. You may not copy, reproduce, modify, distribute, or create derivative works of the Service except as expressly permitted by these Terms or applicable law.

The Service is provided “as is” and “as available,” without warranty of any kind. To the fullest extent permitted by law, VendorSource disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade.

We do not warrant that the Service will be uninterrupted, error-free, or secure; that any information on the Service — including any AI-assisted extraction of a quote document — is accurate, complete, or current; or that any Vendor listed on the Service is licensed, insured, competent, or honest.

To the fullest extent permitted by law, VendorSource and its owners, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from or related to your use of the Service or any interaction with any Vendor or Property Owner, whether based in contract, tort, negligence, or any other legal theory.

Our total aggregate liability arising from or related to these Terms or the Service will not exceed one hundred dollars ($100.00).

Some jurisdictions do not allow the limitation or exclusion of certain warranties or damages, so some of the above limitations may not apply to you.

You agree to indemnify, defend, and hold harmless VendorSource and its owners, employees, and affiliates from any claim, demand, loss, or damage (including reasonable attorney’s fees) arising from (a) your use of the Service, (b) any content you submit, (c) your violation of these Terms, or (d) your interaction with any Vendor or Property Owner.

These Terms are governed by the laws of the State of Florida, without regard to its conflict of laws principles. Any dispute arising from or related to these Terms or the Service will be brought exclusively in the state or federal courts located in Palm Beach County, Florida, and you consent to the personal jurisdiction of those courts.

We may update these Terms from time to time. If we make material changes, we will post the updated Terms on the Service and update the “Last updated” date. Your continued use of the Service after changes are posted constitutes your acceptance of the updated Terms.

We may suspend or terminate your access to the Service at any time, for any reason, with or without notice. You may stop using the Service at any time. Sections 4, 5, 9, 10, 11, 12, 13, and any other provisions that by their nature should survive termination will survive.
